These Terms of Service (the "Terms") govern your access to and use of egent3.com (the "Site") and the professional and digital services (the "Services") provided by Egent3, a brand operated by Lengzai Global LLC, a Wyoming, USA limited liability company ("Egent3", "we", "us", or "our"). By accessing the Site, engaging our Services, or otherwise indicating acceptance, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.
1. About Us and Our Services
Egent3 provides one-stop cross-border e-commerce consultancy and related professional and digital services, which may include consulting calls, audits, store and web development, global sourcing and fulfilment coordination, payment integration, and marketing and search engine optimization. The specific scope, deliverables, and terms of any particular engagement may be set out in a separate proposal, statement of work, order, or invoice (an "Order"), which forms part of these Terms. In the event of a conflict, the Order controls for that engagement.
2. Eligibility and Accounts
You represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms, including on behalf of any entity you represent. You are responsible for providing accurate information and for maintaining the confidentiality and security of any credentials associated with your engagement.
3. Engagements, Scheduling, and Cooperation
Services are delivered remotely unless otherwise agreed. Timelines, milestones, and availability are estimates and may be adjusted at our discretion or as circumstances require. You agree to cooperate in good faith, provide timely access to information, accounts, materials, and approvals reasonably required, and acknowledge that delays in your cooperation may affect delivery and outcomes.
4. Fees and Payment
Fees for the Services are as stated in the applicable Order or on the Site and may be subject to change. Unless otherwise agreed, fees are payable in advance and are exclusive of any taxes, duties, or third-party charges, which are your responsibility. We may suspend or withhold Services for non-payment. Except as expressly stated in these Terms or required by applicable law, all fees are non-refundable.
5. No Guarantee of Results
Our Services are advisory and professional in nature. Any opinions, recommendations, strategies, projections, or estimates we provide are based on information available at the time and our professional judgment. We do not warrant or guarantee any specific result, revenue, ranking, traffic, conversion, approval, savings, or other outcome. Results depend on many factors outside our control, including market conditions, third-party platforms, and your own implementation. You are solely responsible for your business decisions.
6. Third-Party Services and Platforms
The Services may involve, integrate with, or recommend third-party platforms, suppliers, processors, or tools that are subject to their own terms and policies. We do not control and are not responsible for third parties, their availability, fees, decisions, or acts and omissions. Your use of any third-party service is at your own risk and subject to that party's terms.
7. Intellectual Property
All content, materials, methodologies, templates, and know-how made available by us, and all intellectual property rights therein, remain our property or that of our licensors. Subject to full payment and these Terms, we grant you a limited, non-exclusive, non-transferable license to use deliverables solely for your internal business purposes. You retain rights in materials you provide to us and grant us a license to use them as necessary to perform the Services.
8. Client Responsibilities and Acceptable Use
You agree to use the Site and Services lawfully and not to: misuse, disrupt, or attempt to gain unauthorized access to our systems; infringe the rights of others; provide unlawful, infringing, or misleading materials; or use the Services in connection with any prohibited or illegal activity. You are responsible for ensuring your business, products, and content comply with all applicable laws and platform requirements.
9. Confidentiality
Each party may receive confidential information from the other. Each party agrees to use the other's confidential information only as necessary to perform under these Terms and to protect it with reasonable care, except where disclosure is required by law or already public through no fault of the receiving party.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or secure.
11. Limitation of Liability
To the fullest extent permitted by law, in no event shall Egent3, Lengzai Global LLC, or their respective owners, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Site or Services, even if advised of the possibility of such damages. Our aggregate liability for any claim shall not exceed the amount actually paid by you to us for the specific Services giving rise to the claim during the period reasonably related to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Egent3, Lengzai Global LLC, and their respective owners, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or Services, your materials, your business, your breach of these Terms, or your violation of any law or third-party right.
13. Suspension and Termination
We may suspend or terminate your access to the Site or Services, in whole or in part, at any time and at our sole discretion, including for non-payment, breach, or suspected misuse. Upon termination, accrued fees remain payable, and provisions that by their nature should survive will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to such jurisdiction and venue, to the extent permitted by law.
15. Changes to These Terms
We may modify these Terms at any time at our sole discretion. Revisions are effective when posted, as indicated by the "Last updated" date above. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
16. Miscellaneous
These Terms, together with any applicable Order, constitute the entire agreement between you and us regarding their subject matter. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
